Terms of service

1. Scope of the terms and conditions

These terms and conditions govern the services, sales, advice, selections, orders, deliveries, installations, styling activities, home staging, custom cabinetmaking and other services provided by Maison Matera.

They supplement any quote, service offer, purchase order, invoice or written agreement. Specific conditions accepted in writing take priority in the event of a conflict.

Sales of furniture, lighting, rugs, textiles, accessories, artworks, decorative items, custom-made products and other goods are also subject to Maison Matera's conditions of sale applicable to the transaction.

2. Acceptance and communications

The customer accepts the applicable conditions when they sign a document, pay a deposit or an invoice, approve a selection or request that a service begin.

Approvals and instructions may be transmitted by signature, email, text message or other written means that allows proof to be kept. Maison Matera may rely on the contact information and instructions provided by the customer.

When a transaction is carried out online, the digital acceptance of the applicable conditions, when the mechanism used makes it possible to establish the customer's consent, also constitutes a form of acceptance.

3. Use of the website and customer account

The customer must provide accurate, complete and up-to-date information when using Maison Matera's website, creating an account, making a request, placing an order or entering into a transaction, including their contact details, billing address, delivery address and the other information necessary to process the transaction.

When a customer account is created, the customer is responsible for maintaining the confidentiality of their credentials and for taking the reasonable measures necessary to prevent their unauthorized use.

The customer must inform Maison Matera as soon as possible when they notice unauthorized use of their account or a significant error in the information associated with an order.

Use of the website for fraudulent, illegal or abusive purposes, or in a way likely to compromise the security or operation of the site, is prohibited.

4. Description and scope of services

Maison Matera provides only the services and deliverables described in the specific agreement. Any additional request, change of scope or unforeseen work may be billed at the applicable rate or be the subject of a new proposal.

Concepts, proposals, selections and recommendations are developed based on the information, dimensions, constraints, budget and timeline communicated by the customer.

5. Customer obligations

The customer must provide, in a timely manner, the necessary information, plans, dimensions, access, decisions, authorizations and approvals.

Any delay, inaccurate information, lack of access, change of decision or absence of approval may result in an adjustment of the costs and timeline without liability for Maison Matera.

The customer must ensure that the premises are safe, accessible, clean and ready for the delivery, installation, styling or planned work.

6. Fees, deposits and billing

Fees may be established as a flat rate, hourly, by stage or according to a combination of methods specified in the specific agreement.

Deposits, payment deadlines and specific terms are indicated in the quote or service offer. Unless otherwise indicated, invoices are payable upon receipt.

Any unpaid amount bears interest at the annual rate of 15%. Maison Matera may suspend its services and withhold any order or delivery when an amount due remains unpaid.

7. Budget and authorizations

Any budget is an estimate that may change according to the customer's choices, supplier prices, modifications, market conditions and project constraints.

Maison Matera obtains the customer's approval before incurring a significant unforeseen expense or transmitting an order.

8. Products, suppliers and third parties

Products may be sold directly by Maison Matera or by a supplier, as indicated on the quote, purchase order or invoice.

Manufacturers, suppliers, carriers, installers, contractors, cabinetmakers and other professionals remain responsible for their own products, work, lead times, warranties, methods and obligations.

Maison Matera may coordinate or facilitate communications with these parties without assuming their liability.

9. E-commerce and technology platform

Maison Matera may offer certain products and services through its online store.

Maison Matera's online store currently uses the Shopify technology platform. Shopify provides, in particular, the technological infrastructure that allows the online store to operate, but sales made by Maison Matera remain transactions entered into with Maison Matera, unless it is clearly indicated that a product or service is sold directly by a third party.

The prices, features, availability, fees, lead times, restrictions and other information applicable to a transaction are those communicated to the customer during the sales process and in the conditions applicable at the time the contract is entered into.

Maison Matera may modify, for the future, the products and services offered on its site, their presentation, their availability and the features of its online store, subject to its obligations regarding contracts already entered into.

10. Promotions, discounts and promotional codes

Promotions, discounts, benefits and promotional codes may be subject to specific conditions, including a validity period, eligible or excluded products or categories, a minimum purchase amount, a usage limit, a territory or a type of customer.

Unless otherwise indicated, promotions and promotional codes are not necessarily combinable.

The specific conditions communicated in relation to a promotion prevail for that promotion.

The application of a promotion or discount remains subject to the mandatory consumer rights that apply.

11. Third-party services, tools and platforms

Certain services, features or steps of a transaction may be provided or facilitated by third parties, including e-commerce platforms, payment providers, carriers, logistics providers, technology applications or other providers.

The use of certain third-party services may be subject to the conditions and policies specific to those third parties.

Maison Matera remains responsible for the obligations incumbent upon it under the law and its own commitments to the customer. The use of a provider or a third-party platform does not reduce the mandatory rights enjoyed by the customer.

12. Measurements, plans and cabinetmaking

Final measurements and actual conditions must be verified before any manufacturing, order or installation. When measurements are provided by the customer or a third party, Maison Matera may rely on them.

Design plans and drawings do not replace the plans, calculations, permits or validations of an architect, engineer, technologist, electrician, plumber or other specialized professional.

Shop drawings and manufacturing methods specific to the cabinetmaker or manufacturer remain their responsibility.

13. Timelines and delays

Timelines are estimates and depend in particular on customer approvals, product availability, production, the job site, suppliers and carriers.

Maison Matera is not responsible for delays caused by a third party, a stock shortage, a change of collection, a job-site delay, an access restriction or an event beyond its control.

The customer's rights provided by applicable laws, in particular regarding contracts entered into remotely, nevertheless remain applicable.

14. Intellectual property

The concepts, plans, drawings, renderings, material lists, presentations, documents and methods created by Maison Matera remain its intellectual property.

After full payment, the customer obtains a right of use limited to the project concerned. The documents may not be reproduced, resold, transferred, modified or used for another project without written authorization.

Source files, working files and editable documents are not provided, unless otherwise agreed in writing.

The texts, photographs, images, videos, logos, trademarks, graphics, presentations, selections, layouts and other content published by Maison Matera on its website, its social media or its other platforms remain protected by the applicable intellectual property rights of Maison Matera or their respective owners.

None of this content may be reproduced, distributed, modified, sold, commercially exploited or used in a manner that infringes the rights of its owner without the required authorization.

15. Photographs and videos

Maison Matera may photograph or film a project and use the images or videos in its portfolio, on its website, on its social media and in its promotional communications, unless the customer provides a written refusal transmitted before the content is captured or used.

The customer's identity, address and personal information will not be unnecessarily disclosed.

16. Reviews, comments, photographs and content submitted by the customer

When a customer voluntarily submits to Maison Matera a review, comment, testimonial, photograph, video or other content for publication or use by Maison Matera, they confirm that they hold the rights and authorizations necessary for that content.

The customer authorizes Maison Matera to use, reproduce and distribute this content as part of its commercial activities, its portfolio, its website, its social media and its promotional communications, subject to the restrictions or conditions expressly agreed in writing.

Maison Matera may choose not to publish content or to remove content that has already been published.

The customer must not submit content that is illegal, defamatory, misleading, infringing on the rights of a third party or containing personal information about another person without the required authorization.

17. Confidentiality and personal information

Maison Matera protects the non-public information received from the customer and may disclose it only to the employees, collaborators, suppliers, professionals and parties who need access to it to carry out the mandate or when a legal obligation requires it.

Maison Matera's proposals, supplier lists, confidential prices, work methods and internal documents may not be disclosed or used for the benefit of a third party without written authorization.

Personal information is collected and used to manage requests, orders, projects, communications, payments, deliveries, warranties and administrative obligations.

The processing of personal information in the context of the website and e-commerce is also subject to Maison Matera's privacy policy applicable at the relevant time.

18. Suspension, cancellation and end of mandate

Maison Matera may suspend or terminate a mandate in the event of non-payment, failure to cooperate, significant delay, abusive behavior or when continuing becomes unreasonable or impossible.

In the event of cancellation by the customer, the customer remains responsible for the services rendered, expenses incurred, orders transmitted and non-cancellable commitments.

Product orders remain subject to the conditions of sale, even if the service mandate ends.

19. Liability and force majeure

Maison Matera is not responsible for indirect, consequential or incidental damages, nor for the acts, omissions, products, work or delays attributable to third parties.

When Maison Matera's liability is engaged, it is limited to the amount paid for the service or product directly concerned, subject to applicable mandatory rights.

Maison Matera is not responsible for a delay or an inability to perform arising from an event beyond its reasonable control.

No provision of these conditions shall be interpreted in a manner that limits or excludes a right or remedy that cannot be waived under an applicable law.

20. Final provisions

An electronic signature, digital acceptance or written confirmation has the same value as a handwritten signature when consent can be established.

The failure to immediately exercise a right does not constitute a waiver of that right.

These conditions are governed by the laws applicable in the province of Quebec. If a provision is declared invalid or unenforceable, the other provisions remain in force.

Maison Matera may modify its conditions for its future transactions. The version applicable to a transaction is the one communicated or made accessible to the customer at the time of its acceptance.

Notice: These conditions must be read together with any Maison Matera quote, purchase order, invoice, conditions of sale or specific agreement. In the event of a conflict, the specific agreement accepted in writing takes priority, subject to applicable mandatory rights.
